Contractual Processes

  • Support and deputize for the manager of Commercial Admin. in all aspects of GmbH worldwide new/renewal contracts analysis and preparation

  • Review, qualify and clarify information required to prepare or respond to contract requests and provide and/or obtain answers to resolve all business/legal issues

  • Provide strategies and/or recommendations to sales and others in structuring transactions to achieve the desired results while meeting company guidelines as applicable

  • Analyze and interpret existing or proposed agreements/language and provide sound accurate recommendations based on fact finding and analysis

  • Accurately identify and address all relevant contract issues and draft concise error free agreements to achieve stated objectives while protecting GmbH as well as Beilstein Institute, Gmelin Institute intellectual property and any other applicable assets

  • Effectively defend and negotiate the company's position on all business/legal issues in contract negotiations

License Initiation Processes
  • Identify customer new/renewal licensing requirements and convert/input into Exact System License and Contracts Database

  • Coordinate and provide other involved GmbH departments with information necessary in providing the licensed software to the customer

  • Coordinate with the involved departments in the initiation of necessary invoicing and shipping processes for all new and renewed licenses, including GmbH's software updating commitments

  • Manage and maintain all relevant contractual data within the Exact System License and Contracts Database

  • Provide regular reports to the sales force, i.e. renewals reports, etc.

  • Answer internal and customer questions related to license and renewal information

  • Prepare customer termination notices

Minimum Requirements:

  • Native English speaker

  • Communicative and well able to deal with people/problems often under strict time constraints

  • Basic knowledge of contract law

  • Good all-around knowledge of sales administration practice and the processes surrounding contracts creation and administration

  • Knowledge of MDL GmbH products and policies a plus
